Terms of Service

Last updated: October 18, 2026

These terms are an agreement between you and SendProp (“we”, “us”) about using sendprop.io and our apps (the “Service”). By creating an account or using the Service you agree to them and to our Privacy Policy. If you use SendProp for a business, you confirm you can bind that business. If you don't agree, please don't use the Service.

The Service

SendProp lets you build and send quotes, track expenses and, with Contracts, create documents and send them for electronic signature. Some features, including Contracts, are in beta: they may change, have rough edges, or be unavailable at times. Contracts is currently free for all accounts; we may introduce paid plans or limits later and will give notice before charging for anything you already use.

Your account

  • Give accurate information, keep your password secure, and tell us if you suspect unauthorized access. You're responsible for activity under your account and for the people you invite to your workspace.
  • You must be old enough to form a binding contract where you live (and at least 16).

Your content

You own what you put into SendProp (quotes, contracts, templates, uploads, client details). You give us permission to store, process, display and transmit it as needed to run the Service for you, including sending it to the recipients you choose. You promise that you have the right to use and share it, including the personal information of your clients and signers, and that you will use it lawfully.

Contracts and electronic signatures

  • We provide software, not legal advice or contract wording. We are not a law firm and don't review your documents. We provide no starter or template contracts. You are responsible for what your contracts say and whether they are valid and enforceable for your situation. Have a lawyer review anything important.
  • Not every document can be signed electronically. Laws in many places don't allow e-signatures for some documents, such as wills and certain family, real estate, court and notice documents. Don't use the Service for those unless you've confirmed it is allowed.
  • Consent. Each signer is asked to agree to sign electronically before they sign. You are responsible for making sure the people you send documents to are the right people. You can optionally require an emailed verification code before a signer can open a document; this adds a check but is not identity verification, and we don't verify anyone's identity or authority to sign.
  • Records. We record signing activity (time, IP address, device, events) and add a certificate of completion to the signed PDF. This evidence may help prove a signature but we don't guarantee how any court or authority will treat it. A signed PDF can be downloaded and you should keep your own copies.
  • Sent contracts are frozen. To change one you must void it and send a new version.
  • Sending limits apply to protect everyone's email delivery. Emails come from SendProp on your behalf; you must not use the Service to send unwanted or misleading messages.

Acceptable use

Don't use SendProp to break the law or others' rights; send spam, scams or phishing; impersonate anyone or forge signatures; upload malware or content that is unlawful, harmful or infringing; probe, overload or bypass the security or limits of the Service; scrape or reverse engineer it; or resell it without permission. We may remove content, suspend or close accounts that do, and report serious misuse.

Third-party services

The Service relies on third parties (for example hosting, database and email providers). We aren't responsible for outages or acts of those providers, though we choose them carefully. Emails can be delayed, filtered or lost outside our control.

Availability, changes and ending

We work to keep SendProp running but don't promise uninterrupted or error-free service, especially for beta features. We may change or discontinue features. You can stop using the Service and delete your account at any time. We may suspend or end your access for breaking these terms or to protect the Service. Provisions that by their nature should survive (such as ownership, disclaimers and limits of liability) will.

Disclaimers

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTY THAT THE SERVICE OR ANY DOCUMENT OR SIGNATURE WILL BE LEGALLY VALID OR ENFORCEABLE. We don't guarantee that content will never be lost, so keep your own copies of important documents.

Limit of liability

TO THE FULLEST EXTENT ALLOWED BY LAW, SENDPROP WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA OR BUSINESS OPPORTUNITIES, ARISING FROM YOUR USE OF THE SERVICE, EVEN IF WE WERE TOLD THEY WERE POSSIBLE. OUR TOTAL LIABILITY FOR ANY CLAIM RELATING TO THE SERVICE IS LIMITED TO THE GREATER OF THE AMOUNT YOU PAID US IN THE 12 MONTHS BEFORE THE CLAIM OR US$100. Some places don't allow certain limits, so parts of this may not apply to you.

Indemnity

You'll defend and compensate us against claims, losses and costs arising from your content, your contracts and how you use the Service, including claims by your clients or signers, or from your breach of these terms or the law.

Changes to these terms

We may update these terms. We'll post the new version here with a new date and, for material changes, notify account holders. Continuing to use the Service after a change means you accept it.
